• Institutional Account Administrators: If you use a Service provided through your institution or organization, account administrators may have access to your account data and usage information as permitted by applicable agreements.

• Course Content: Retained for the duration of your subscription; upon account deletion, content is deleted within 30 days unless backup/legal requirements apply
• Usage Logs: Retained for 12 months for security and analytics purposes
• Payment Records: Retained for 7 years to comply with accounting and tax regulations

7. Children's Privacy

The Service is not intended for individuals under 13 years of age (or the applicable age of digital consent in your jurisdiction). We do not knowingly collect personal information from children. If we learn that we have collected such information, we will promptly delete it. If you believe a child has provided us with their information, please contact us immediately.

8. International Data Transfers

These Terms of Service ("Terms") constitute a binding agreement between you and Vector LX LLC ("Company," "we," "our," or "us") governing your access to and use of the Vector LX Wizard platform and website (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Grant of License

Subject to your compliance with these Terms and applicable laws, Vector LX LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal, non-commercial educational or professional use. You may not:

• Sublicense, resell, or rent the Service
• Use the Service for competing commercial purposes
• Remove or obscure proprietary notices or labels
• Reverse engineer, decompile, or attempt to derive source code
• Access the Service through automated means (scraping, bots, etc.) without authorization

2. User Accounts and Responsibilities

2.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your password and account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of unauthorized access or security breaches
• Comply with all applicable laws and regulations in your jurisdiction

2.2 Account Types

Accounts may be individual or institutional. Institutional accounts grant administrators access to team members' accounts and data as permitted by organizational agreements.

3. User Content and Intellectual Property

3.1 Your Content

You retain all rights to content you create and upload to the Service (course designs, learning outcomes, assessments, etc.). By using the Service, you grant Vector LX LLC a worldwide, royalty-free license to:

• Store, process, and display your content
• Use your content for service delivery, backup, and improvement
• Use anonymized and aggregated data derived from your content for analytics and platform improvement

You represent and warrant that you own or have the right to license all content you upload and that such content does not infringe third-party intellectual property rights.

3.2 Vector LX Intellectual Property

The Service, including software, design, layout, features, functionality, and content created by Vector LX LLC, is protected by copyright, trademark, and other intellectual property laws. You agree not to:

• Modify or create derivative works
• Publicly display or distribute Vector LX content without permission
• Claim ownership of Vector LX intellectual property

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any law, regulation, or third-party right (including intellectual property, privacy, and publicity rights)
• Harass, threaten, abuse, defame, or discriminate against any person
• Transmit viruses, malware, or malicious code
• Interfere with the Service's integrity, security, or functionality
• Engage in unauthorized access to systems or networks
• Spam, phish, or engage in deceptive practices
• Upload sexually explicit, violent, or illegal content
• Create multiple accounts to circumvent restrictions
• Attempt to gain unauthorized administrative access

Violation of this policy may result in immediate account suspension or termination without refund.

5. Fees, Billing, and Cancellation

5.1 Pricing and Payment

• Pricing, plans, and features are displayed at the time of purchase
• Fees are exclusive of applicable taxes unless stated otherwise
• Payment is due according to the selected billing cycle (monthly, annual, or other)
• We accept major credit cards and may accept other payment methods
• We reserve the right to update pricing with 30 days' notice

5.2 Refund Policy

• Free Trial: If applicable, free trial access is provided as-is. Conversion to a paid subscription may be refundable within 14 days of initial charge if you cancel before significant use
• Annual Plans: Annual subscriptions are non-refundable unless required by law or stated otherwise at point of purchase
• Monthly Plans: Monthly subscriptions renew automatically. Cancellation takes effect at the end of the current billing cycle
• Refund Requests: To request a refund, contact info@VectorLX.com within the applicable period

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. After cancellation:

• Your access to paid features is revoked
• Your data remains accessible for 30 days, then is permanently deleted
• You are responsible for exporting or backing up your content

6. Disclaimers and Limitation of Liability

6.1 "As-Is" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. VECTOR LX LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• IN NO EVENT SHALL VECTOR LX LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF APPLICABLE)
• SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU

6.3 Assumption of Risk

YOU ASSUME ALL RISK OF LOSS AND DAMAGE RESULTING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF ACCESS TO DATA OR CONTENT.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vector LX LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your infringement of any third-party intellectual property or rights
• Content you create, upload, or transmit through the Service

8. Third-Party Services and Integrations

The Service may integrate with or link to third-party services (Canvas, Blackboard, etc.). Your use of third-party services is governed by their terms and privacy policies. Vector LX LLC:

• Is not responsible for third-party services, content, or policies
• Does not warrant third-party functionality or data accuracy
• Is not liable for third-party service interruptions or data loss
• May discontinue integrations at any time

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting info@VectorLX.com or through your account settings.

9.2 Termination by Vector LX LLC

We may terminate or suspend your account immediately, without notice, if you:

• Violate these Terms or applicable laws
• Engage in unauthorized or unlawful activity
• Infringe third-party rights
• Pose a security risk or interfere with the Service
• Fail to pay fees when due

In cases of non-payment or policy violations, we may provide warning and an opportunity to cure (unless immediate suspension is necessary for security).

9.3 Effect of Termination

Upon termination:

• Your license to use the Service is revoked
• You remain responsible for unpaid fees
• Your content is retained for 30 days then deleted (unless required by law)
• Provisions that survive termination include Indemnification, Limitation of Liability, Intellectual Property, and Confidentiality

10. Confidentiality

Each party agrees to maintain the confidentiality of the other's proprietary and confidential information and use it only for purposes of performing obligations under these Terms. This does not apply to information that is:

• Publicly available
• Rightfully known without restriction
• Required to be disclosed by law
• Independently developed without using confidential information

11. Export Control

The Service is subject to U.S. export control laws. You agree not to export or re-export the Service or content to countries or individuals subject to U.S. trade embargoes or sanctions, or to prohibited persons.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Your use of the Service constitutes consent to the jurisdiction and venue of the state and federal courts located in Volusia County, Florida.

12.2 Arbitration Agreement

You and Vector LX LLC agree that any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration before a single arbitrator under the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration shall be conducted:

• On an individual basis (no class or collective actions)
• In Volusia County, Florida, or online
• With each party bearing its own attorney fees and costs

Exception: Either party may seek injunctive relief in court to prevent infringement of intellectual property rights or breach of confidentiality.

12.3 Procedure

Before initiating arbitration, you agree to attempt to resolve disputes by sending written notice to info@VectorLX.com describing the dispute, your relief sought, and proposed resolution. You agree to negotiate in good faith for 30 days before pursuing arbitration.

13. Class Action Waiver

YOU AND VECTOR LX LLC AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

14. Modification of Terms

Vector LX LLC may modify these Terms at any time. Changes are effective upon posting to the Service with an updated "Effective Date." Material changes will be communicated via email or prominent notice. Continued use of the Service after changes constitutes your acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any specific agreements regarding institutional use, constitute the entire agreement between you and Vector LX LLC regarding the Service and supersede all prior understandings, agreements, and negotiations, whether written or oral.

17. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Vector LX LLC. The failure of Vector LX LLC to enforce any right or provision shall not constitute a waiver of that right or provision.
